Terms of Service

1. Acceptance of Terms

By accessing or using Knowledge Raven ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and BirdFlai UG (haftungsbeschränkt), Tarpenbekstraße 13, 22848 Norderstedt, Germany ("we", "us", "Knowledge Raven"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Knowledge Raven is a SaaS platform that stores, indexes, and makes company documents searchable by AI agents via the Model Context Protocol (MCP). The Service includes document upload and management, connectors to third-party services (e.g., Google Drive), knowledge base organization, and MCP tools for AI-powered search and retrieval. The Service is operated by BirdFlai UG (haftungsbeschränkt).

3. User Accounts

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must provide accurate information during registration and keep it up to date. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Plans, Pricing, and Payment

The Service is available under the following plans:

  • Free: limited document storage, users, and queries per month — no payment required
  • Pro: expanded limits — $29 per workspace per month
  • Enterprise: custom limits and features — contact us for pricing

Current plan details and limits are available on our Pricing page. Paid plans are billed monthly in advance through Stripe. All prices are in USD and exclusive of applicable taxes. EU customers: VAT will be added at checkout based on your country of residence. We reserve the right to change pricing with at least 30 days' notice via email.

5. Free Plan

The Free plan provides access to the Service with limited capacity (currently: 50 documents, 3 users, 100 MCP queries per user per month). No credit card is required. We may adjust Free plan limits at any time. If you exceed the limits, you will be prompted to upgrade to a paid plan.

6. Cancellation and Termination

You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain full access until then. No refunds are provided for partial billing periods.

Upon cancellation or account deletion, your data (documents, embeddings, and account information) will be retained for 30 days before permanent deletion. During this period, you may reactivate your account and recover your data.

We reserve the right to suspend or terminate your account immediately if you materially violate these Terms, with notice where reasonably possible.

7. Intellectual Property

Your content: you retain all rights to the documents and data you upload to the Service. We do not claim ownership of your content.

Our platform: Knowledge Raven, its software, design, branding, and documentation are the intellectual property of BirdFlai UG (haftungsbeschränkt). These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as intended.

Processing license: by uploading content, you grant us a limited, non-exclusive license to process your documents solely for the purpose of providing the Service (indexing, embedding, search, and retrieval). This license terminates when your content is deleted.

8. Acceptable Use

You agree not to:

  • Upload content that contains malware, viruses, or harmful code
  • Upload content that is illegal, defamatory, or infringes on third-party rights
  • Use automated means to scrape, crawl, or extract data from the Service beyond normal MCP tool usage
  • Resell, sublicense, or redistribute the Service without written permission
  • Attempt to circumvent usage limits, authentication, or security measures
  • Use the Service for any purpose that violates applicable laws or regulations

You are responsible for ensuring that all content you upload complies with applicable laws, including data protection and intellectual property laws.

9. Data and Privacy

Your data is processed in accordance with our Privacy Policy. We do not use your documents to train AI models or share them with third parties beyond what is necessary to provide the Service.

For business customers, we provide a Data Processing Agreement (DPA) in accordance with Art. 28 GDPR upon request. Please contact us at jan@birdflai.com to obtain our standard DPA.

Our marketing website uses cookies for analytics purposes, subject to your explicit consent. Analytics cookies are only set after you accept them via the cookie consent banner. You can manage your cookie preferences at any time through the "Cookie Settings" link in the website footer.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where reasonably possible. No service level agreement (SLA) is provided for the Free plan. Paid plans may include availability commitments as specified in the applicable plan documentation.

11. Limitation of Liability

Our liability is governed by German law as follows:

  • Intent and gross negligence (Vorsatz und grobe Fahrlässigkeit): we are fully liable without limitation
  • Slight negligence (leichte Fahrlässigkeit): we are only liable for breach of essential contractual obligations (Kardinalpflichten), limited to the foreseeable, typically occurring damages. The maximum liability under this provision is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim
  • Loss of data: our liability for data loss is limited to the typical restoration costs that would have occurred had you maintained reasonable backups

Liability under the German Product Liability Act (Produkthaftungsgesetz) and for personal injury (life, body, or health) remains unaffected by the above limitations.

12. Indemnification

You agree to indemnify and hold BirdFlai UG (haftungsbeschränkt) harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your content uploaded to the Service, (b) your violation of these Terms, or (c) your violation of any applicable law or third-party rights.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (UN CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Norderstedt, Germany, to the extent permitted by law.

For consumers within the European Union, mandatory consumer protection provisions of your country of residence remain unaffected.

14. Changes to Terms

We may update these Terms from time to time. We will notify you at least 30 days before changes take effect via email to the address associated with your account. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your account before the changes take effect.

For consumer users, we will request your explicit acceptance of updated Terms before they take effect. You will be presented with the updated Terms at your next login and asked to confirm acceptance.
